ABSTRACT
This thesis has been done in an effort to investigate the standards
frequently used by foreigners and Vietnamese people in the course of making
economic export contracts by an analysis of economic export contracts in
English and Vietnamese. With the examples of economic export contracts in
English and Vietnamese collected, we have explored some linguistic features
and the similarities and differences of economic export contracts in terms of
overall structures, lexical choice and syntax. In some cases, they have slight
differences in layout, lexical and syntactic features. The thesis gives some
general ideas on how to write EECs, how to choose words to make the EECs
as clear, informative and accurate as possible, how to use different types of
sentence and connect them naturally as well as how to take the advantage of
passive voice to create impression.
The result of this study may Giúp entrepreneurs, teachers and students
to draw up and understand more economic export contracts. The findings lay
the foundations of implications for teaching and learning to achieve better
communicative competence.

CHAPTER 1
INTRODUCTION
1.1. RATIONALE
In the early ancient time, purchasing goods was usually through the
barter forms. But in modern society, economy has been growing and the
development of trade activities have been conducted cross nation borders.
Therefore, in many cases the businessmen cannot meet one another to
negotiate in person because of the long distances; they have to resort to other
tools to better serve them such as contracts, mail, phone… But what can
protect the interests of entrepreneurs? That is why economic export contracts
came into being.
In fact, nowadays all economic activities are based on the contract. The
more business transactions are conducted, the more economic contracts are
signed. The contract is an agreement between the buyers and the sellers on
what to do in a certain economic transaction, rights and obligations of each
parties, the period of contract performance, the responsibility for breach of
contract, the conditions for indemnity when the contract cannot be done or not
done adequately.
In Vietnam, now with the open door and free trade policies as well as
globalization, contracts offer good opportunities to domestic companies and
undertakings in doing business with foreign partners. There are more and
more contracts are signed. Among them economic export contracts (EECs)
take up a considerable rate. And the success or failure of the business is
determined by the compiling of EECs since it is not only an essential
operational activity but also a legal practice complying with strict legal rules.
If the EEC is not well compiled and if the language is used in the wrong way,
a lot of trouble may arise.
In practice, both Vietnamese and English business people should pay
proper attention to writing EECs effectively. But in fact, there are very few
studies focusing on the language of contracts, especially economic export
contracts. Most of the studies are parts of books on contracts and guides to the
preparation for contracts in general. But the standard form of particular kinds
of economic export contracts has not been investigated yet. Thus some
entrepreneurs write EECs in their own words, some follow the same format
and sentence structures for all kinds of contracts. These may cause ambiguity,
misunderstanding and sometimes lead to extremely damage or unexpected
impacts on deals.
Another important thing is that in reality, making EECs by foreigners is
not absolutely correspondent with that by Vietnamese people due to the
difference in style in different languages and because the standard for
contracts is a fairly new area in Vietnam. It is the reason for a lot of troubles
for Vietnamese corporations or undertakings, especially import-export
companies during their negotiation and implementation of the contract. As a
result, many undertakings have been put into trouble or have gone bankrupt
because of inappropriate use of language in their contracts.
The last and the most important one is that my family has lived in Buon
Ma Thuot City, Daklak province which is very famous for growing crash
crops for export such as coffee, rubber, pepper, corn, bean and so on.
Therefore, there are many import-export companies in my hometown and
Daklak people are in need of the knowledge of how economic export
contracts are organized in both English and Vietnamese and what linguistic
features are applied in making an EEC correctly and I myself wish to do
something to my beloved Daklak people for using and understanding the
organization, lexicon and syntax of the EECs.
